These Terms of Service ("Terms") govern your use of blackbear, a software product developed and distributed by xavi group llc ("we", "us", "our"). By purchasing or using blackbear, you agree to these Terms.

1. License

When you purchase blackbear, we grant you a non-exclusive, perpetual, non-transferable license to use the software on any devices you personally own or control. "Pay once, own it forever" means your license does not expire, does not require renewal, and includes all future updates to the version you purchased.

You may install blackbear on multiple personal devices (desktop, mobile, web) under a single license. You may not share your license key with others, resell the software, or distribute it to third parties.

2. Your Data

blackbear is local-first software. Your notes, journal entries, tasks, and all other content are stored on your device. We do not have access to your content unless you explicitly opt into our cloud sync service.

You own your data. We make no claim to any content you create in blackbear. You can export all your data as standard Markdown files at any time.

3. Cloud Sync (Optional)

If you subscribe to cloud sync ($0.99/month), your data is encrypted in transit and at rest. You can cancel sync at any time — your data remains on your device. We will delete your synced data from our servers within 30 days of cancellation upon request.

4. Refund Policy

We offer a 30-day money-back guarantee. If you're not satisfied with blackbear for any reason, email us within 30 days of purchase for a full refund. No questions asked.

5. Payments

Payments are processed by Stripe. We do not store your credit card information. All payment data is handled directly by Stripe in accordance with their privacy policy.

6. Warranty Disclaimer

blackbear is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be error-free or uninterrupted.

7. Limitation of Liability

To the maximum extent permitted by law, xavi group llc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of blackbear.

Our total liability for any claims arising from or related to these Terms or your use of blackbear shall not exceed the amount you paid for the software.

8. Changes to Terms

We may update these Terms from time to time. We'll notify users of material changes via the app or email. Continued use of blackbear after changes constitutes acceptance.
